Cisco makes recommended cash offer to acquire TANDBERG for $3 billion

Cisco Systems Inc. announced Thursday a definitive agreement for Cisco to launch a recommended voluntary cash offer to acquire TANDBERG.

TANDBERG, based in Oslo, Norway, and New York, is a provider of video communications, including a range of video endpoint and network infrastructure solutions with intercompany and multi-vendor interoperability. With this proposed acquisition, Cisco will expand its collaboration portfolio to offer more solutions to a larger number of customers, further accelerating market adoption globally.

Under the terms of the agreement, Cisco will commence a cash tender offer to purchase all the outstanding shares of TANDBERG for 153.5 Norwegian Kroner per share for an aggregate purchase price of approximately $3.0 billion. This represents an 11.0 percent premium to the previous day closing price of TANDBERG’s stock, and a 25.2 percent premium to the three-month volume weighted average closing price for TANDBERG’s stock. The proposal was recommended unanimously by TANDBERG’s board of directors.

The acquisition is expected to close during the first half of calendar year 2010, though the close date is subject to customary closing conditions, including regulatory review in the United States and elsewhere. Cisco expects the acquisition to be accretive to Cisco’s non-GAAP earnings in fiscal year 2011.

TANDBERG’s 1,500 employees globally, with innovation centers in Norway and the United Kingdom, will be important as Cisco’s team continues to drive video innovation and growth. Upon completion of the transaction, TANDBERG’s CEO Fredrik Halvorsen will lead the new TelePresence Technology Group, reporting to Marthin De Beer, senior vice president of Cisco’s Emerging Technologies Group.
“Cisco and TANDBERG have remarkably similar cultures and a shared vision to change the way the world works through collaboration and video communications technologies,” said Cisco Chairman and Chief Executive Officer, John Chambers. “Collaboration is a $34 billion market and is growing rapidly — enabled by networked Web 2.0 technologies. Interesting press release about retracting statement about Office Depot that we found on Yahoo.

The National Office Products Alliance (NOPA) is retracting a statement that it issued in a July 21 press release in which it referenced the allegation it made to the California Attorney General of ‘kickbacks’ NOPA claimed were made to U.S. Communities. NOPA acknowledges it has no knowledge of ‘kickbacks’ being paid to U.S. Communities nor does NOPA have knowledge of any investigation of U.S. Communities as an organization. It regrets that its statements may have suggested otherwise.

Accordingly, NOPA has removed the July 21 release from its website, along with testimony of one of its directors in the California legislature on August 19 that also referred to ‘kickbacks.

Our comments:
This has been an interesting run on the Office Depot Stock in the past six months. Buy on bad news and sell on good news.

More patent infringing cartridges have been flowing
into the US. First we hear of the Epson inkjet cartridges, now it’s the Hewlett Packard 02 cartridges.  After reading the complaint, we noticed two companies in particular that have come up both lawsuits.  Mipo and Zhuhai Gree Magneto-Electric.  Let’s take this one step further, Mipo has been selling the HP cartridges in question on Amazon, eBay and Craigslist.  C’mon Amazon fix your item file for inkjet and toner cartridges, you have way too many brands of compatible cartridges.

HEY AMAZON, A TIP HERE! – you might want to take those Mipo cartridges off of your website.

On September 23, 2009, Hewlett-Packard Co. (“HP”) of Palo Alto, California filed a complaint requesting that the ITC commence an investigation pursuant to section 337.

The complaint alleges that the following proposed respondents (collectively, “Respondents”) unlawfully import into the U.S., sell for importation, and sell within the U.S. after importation certain inkjet ink supplies and components thereof, which allegedly infringe HP’s U.S. Patent Nos. 6,959,985; 7,104,630; 6,089,687; and 6,264,301 (“the asserted patents”):

According to the complaint, the asserted patents relate to specialized printing fluid containers. In particular, the inventions relate to printing fluid containers that have enhanced alignment and latching features, the ability to hold different volumes of ink, and the ability to electronically communicate with the overall printing system regarding the amount of ink remaining in the container.

HP discloses in the complaint that simultaneously with the filing of its ITC complaint, HP filed a complaint against Respondents in the U.S. District Court for the Central District of California, alleging infringement of the same four asserted patents.

HP further discloses in the complaint that on August 1, 2006, HP asserted two of the four patents that are asserted in the current complaint against parties other than Respondents, both at the ITC (Inv. No. 337-TA-581), and also in the U.S. District Court for the Central District of California. The ITC investigation and the district court litigation both settled.

Regarding potential remedy, HP requests that the Commission issue a permanent general exclusion order, or in the alternative, a permanent limited exclusion order. Additionally, HP requests that the Commission issue cease and desist orders directed to all Respondents.

I wonder if they’ve checked those inkjet cartridges for lead???!!
